Overview
Acquisitions, Tax Structuring and Tax Planning
Our tax practice advises on a diverse range of tax matters, including advising our corporate clients in various corporate and transactional tax matters, practicing before the IRS, and advising clients regarding the tax aspects of charitable giving, non-profit organizations and tax-exempt organizations.
Corporate Tax Advisory Practice
Our tax practice supports our Corporate and Securities Department by advising on tax consequences of various acquisitions, structuring tax-free reorganizations, and through tax planning designed to reduce the cost of taxable transactions.
Our tax practice advises:
- U.S. companies on the tax consequences (in the U.S and abroad) of doing business overseas, and on how best to structure overseas businesses from a tax perspective.
- Foreign companies on the tax aspects of doing business in the U.S. and on how to manage their exposure to U.S taxes.
Administrative Tax Advisory Practice
Our tax practice also has an administrative practice, which includes:
- obtaining private letter rulings from the IRS on proposed transactions, and
- handling complex tax audits.
Charitable Giving, Non-Profit and Tax-Exempt Organization Advisory Practice
Additionally, our tax practice establishes tax-exempt private foundations for individuals and companies that wish to devote some of their resources to charitable causes and manage charitable-giving activities on their own. The firm also obtains confirmation from the IRS on the tax-exempt status of the organizations it establishes.
