Introduction

Philip is an experienced corporate and securities attorney with two decades of law firm and in-house experience advising entrepreneurs, investors, broker-dealers, executive officers, and boards of directors of public and private companies.  He’s represented companies in all stages of development, from startups to publicly traded companies on all types of corporate transactions.

Phil’s focus is on small and mid-cap private and public companies, the OTC Markets and stock exchanges, Regulations D and S private placements, self-directed, underwritten or alternative public offerings, asset and stock purchase agreements, mergers and acquisitions, private equity and equity lines, Regulation A/A+ offerings, ’34 Exchange Act and other regulatory reporting requirements, FINRA and DTC requirements, state and federal securities laws, crowdfunding, general corporate law and complex business transactions. He also represents issuers and their boards of directors with respect to reporting and other obligations under the U.S. securities laws and corporate governance and regulatory matters, specializing in the registration of securities under the ’33 Securities Act and compliance with reporting requirements under the ’34 Exchange Act. Philip regularly counsels public companies on initial public offerings securities, mergers and acquisitions, Private Investment in Public Equity (PIPE) transactions, equity lines and various corporate finance transactions.

For more than six years, Mr. Magri served as Assistant General Counsel and Assistant Secretary to Trump Entertainment and Resorts, Inc. While with the Trump organization, Mr. Magri prepared and filed annual, quarterly and current reports, proxy statements and Forms 3, 4 and 5 and Schedule 13D/G with the SEC, NASDAQ and NYSE. He routinely advised Donald Trump, management and the Board of Directors in matters pertaining to federal securities laws and corporate compliance.
